Alpha Bank sells €2.4 bln NPL, real estate portfolio

Alpha Bank Group has reached an agreement with an affiliate of Cerberus Capital Management L.P. to sell a portfolio of Cypriot non-performing loans and real estate properties of a total gross book value of €2.4 bln. The Portfolio will be sold by the group’s 100% (indirect) subsidiary, Alpha International Holdings S.M.S.A to the U.S. equity firm. Alpha Bank said it has concluded a synthetic securitisation of 1.9 billion euros performing SME/Corporate portfolio with Christofferson, Robb & Company as lead investor, AnaCap Financial Partners (AnaCap) and the European Bank for Reconstruction and Development (EBRD). “The transaction enables the Bank to obtain Credit Risk protection for the Mezzanine Tranche of a 1.9 billion euros performing SME/Corporate portfolio, resulting in Risk Weighted Asset relief of approximately 1.2 billion euros,” Alpha said. The transaction has been structured to achieve Significant Risk Transfer (SRT) as well as Simple, Transparent and Standardised (STS) designation to enhance the Risk Weighted Asset relief, both of which are subject to supervisory approvals, Alpha said. The securitisation forms part of Alpha Bank’s announced business plan, “Project Tomorrow”, and is expected to contribute around 47 bps to Alpha Bank’s total capital ratio1 as of 30 September 2021. “Alpha Bank’s inaugural synthetic securitisation attracted significant investor interest, validating its strategy to utilise alternative sources of capital enhancement, in order to finance new investments and thus, contribute to the effort to accelerate the development of the Greek economy,” the bank said.

ATHENS (Reuters) Alpha Bank, one of Greeces four largest banks, has clinched a binding deal to sell its Albanian unit to Hungarys OTP Bank, it said on Monday.
Alpha Bank said that it has agreed to sell its entire stake in its Albanian subsidiary to OTP for a consideration of 55 million euros, representing a 0.74x P/BV multiple. The transaction is capital accretive for Alpha. The sale is fully aligned with the Groups commitment to focus its operations on its core markets, Alpha said in a bourse filing. The completion of deal is expected to take place within 2022. Rothschild and UniCredit Group are acting as financial advisers in relation to the transaction.

Group NPE ratio stood at 19.9% and is well on track to reach 13% by year- end and a single-digit by mid-2022, the bank said. Group NPE cash coverage increased to 56% and to 51% in Greece. Group NPL coverage ratio stood at 86% while total coverage including collateral came to 124%. Total Capital Ratio was at 16.5% and CET1 at 13.9%, or 17.2% and 14.5% respectively, accounting for the RWA relief of the Cosmos securitisation which is anticipated to be realised in Q4. At the end of September 2021, the Groups Tangible Equity stood at Euro 6 billion. Overall, the implementation of our planned internal capital measures will more than offset the anticipated negative impact from the remaining inorganic NPE reduction and enhance the capital ratios by circa 60bps, Alpha said.
