Healthcare Realty Trust Inc. and Healthcare Trust of America Inc. announced Monday an agreement to enter a strategic business combination, with the combined real estate investment trust having an equity market capitalization of $11.6 billion and a total enterprise value of $17.6 billion. Under terms of the agreement, Healthcare Trust shareholders will receive a total value of $35.08 a share for each Healthcare Trust share they own, which represents a 13.0% premium to Friday''s closing price of $31.04. The amount received includes a special cash dividend of $4.82. The deal, which is expected to close in the third quarter of 2022, is expected to add to Healthcare Realty''s results, with expected synergies of $33 million to $36 million within 12 months of closing. After closing, the company''s headquarters will be in Nashville. "We are pleased to announce this strategic transaction, which unites two highly complementary medical office portfolios and represents a rare opportunity to create a sector-leading REIT in terms of both size and quality," said Healthcare Realty Chief Executive Rodd Meredith.

The Real Estate Select Sector SPDR ETF is a popular choice for investors seeking dividends and income from the domestic real estate sector.
Shares of Paramount Group Inc. soared 21.3% toward an 8-month high after the real estate investment trust (REIT) focused on officer properties confirmed it received an "unsolicited" buyout bid from private-equity firm Monarch Alternative Capital LP. The bid, for $12 a share in cash, represents a 29.2% premium over Thursday''s closing price of $9.29, and implies a market capitalization for Paramount of about $2.2 billion. The stock hasn''t closed above $12 since March 5, 2020, which was before COVID-19 was declared a pandemic. Paramount said shareholders don''t need to take any action at this time, as it will "carefully review the unsolicited proposal" to determine what is in the best interest of the company and its shareholders. A buyout bid from Monarch was reported earlier by Bloomberg. The stock has rallied 19.5% over the past 12 months, while the SPDR Real Estate Select Sector ETF has run up 19.4% and the S&P 500 has gained 13.8%.
