On Holding Shares Drop 5% as CEO Martin Hoffmann Announces Departure

On Holding AG (NYSE:ONON) felt the heat on Wednesday, with shares dropping about 5% following the announcement of CEO Martin Hoffmann's exit. After more than a decade with the Swiss sportswear company, Hoffmann is set to leave the helm on May 1.

The leadership baton will be passed rather unconventionally, as co-founders David Allemann and Caspar Coppetti step in as Co-CEOs. They'll continue their roles as Executive Co-Chairmen of the Board, aiming to steer On through what the company describes as the next phase of growth, having just cleared CHF 3 billion in net sales for 2025.

Before his CEO stint of five years, Hoffmann served as CFO and plans to stick around as an advisor until March 2027, easing the transition. Filling his CFO shoes is Frank Sluis, who joins the company on May 1.

Alongside this shake-up, Scott Maguire moves up to President and COO, taking charge of the end-to-end value chain - from research and development through production to marketing and global sales. Maguire has a track record with On, notably advancing the LightSpray tech and Superfoam materials behind the Cloudsurfer 3.

On frames these leadership moves as an effort to link the founders' strategic vision more tightly with day-to-day execution as they scale internationally. Olivier Bernhard, another co-founder, will stick to leading performance product projects and athlete engagement from his spot on the Executive Board.

There's also a notable proposal coming up for the Annual General Shareholders' Meeting on May 28: Hoffmann's 16,250,000 Class B voting shares are slated to be converted into 1,625,000 Class A Ordinary Shares, a move carrying potential implications for voting power and stock structure.

The market reaction was swift, with a 5% selloff signaling some degree of uncertainty or caution from investors about the leadership transition at this pivotal moment for On Holding. The duo's new joint leadership model and strategic emphasis signal a clear shift, but whether it pays off will be something to track over the coming quarters.
