Carlyle and Yum China Eye Jardine's KFC, Pizza Hut Operations in Asia

Private equity heavyweight Carlyle Group and restaurant operator Yum China Holdings have entered the fray to acquire Jardine Matheson's KFC and Pizza Hut businesses spread across Hong Kong, Taiwan, and other Asian markets. The potential transaction, pegged near $400 million, has also drawn attention from Taiwan's Uni-President as well as a handful of other private equity firms.

Jardine's restaurant arm manages close to 1,000 outlets, boasting a workforce of roughly 25,000 employees in regions including Hong Kong, Macau, Vietnam, Myanmar, and Taiwan. Beyond Kentucky Fried Chicken and Pizza Hut, it also operates PHD, a quick takeout pizza chain based in Hong Kong. The whole segment generates EBITDA estimates between $35 million and $40 million, sources familiar with the matter noted.

Details around formal bids remain under wraps, but multiple insiders suggest non-binding offers are due this week. Jardines remains mum publicly on the matter while Carlyle and Yum China have yet to comment, with Uni-President likewise silent.

In recent years, urbanization and consumer trends among younger demographics have pushed fast food consumption higher in Asia, making restaurant chains hot targets for investors and strategics. The Asia-Pacific fast food market was valued around $270 billion in 2024 with an expectation to nearly double to $465 billion by 2033, according to market research reports.

However, Jardine flagged lingering softness in Hong Kong's consumer spending in its 2025 report, noting deflationary pressures have weighed on its restaurant portfolio's performance. This may have spurred the parent company to look at reallocating capital towards core enterprises, especially after its $4.2 billion take-private acquisition of luxury hotelier Mandarin Oriental earlier this year.

Carlyle brings previous experience operating fast food brands in Asia, having finalized a full acquisition of KFC Korea in late 2025. It also previously held a stake in McDonald's China with a successful exit in 2023. Yum China, spun off from Yum Brands in 2016, runs KFC and Pizza Hut operations in mainland China and counts private equity names like Primavera Capital and Ant Group as backers.

Market speculation points to valuation multiples landing in the high single-digit to low teens range over underlying earnings before interest, tax, depreciation, and amortization (EBITDA). Sources add that Jardine might be flexible in dealing with individual markets or the whole portfolio, depending on offer structures.

The potential sale could signal a shift in the competitive dynamics in Asian quick service restaurants, with stakes bouncing between global players and local giants alike. Whether this leads to fresh expansion plays or consolidation remains to be seen.

Meanwhile, previous plans for Jardine's DFI Retail unit to merge supermarket operations with CK Hutchison in Hong Kong appear stalled, adding to the list of ongoing portfolio reshuffles for the conglomerate.
