Southwest Airlines (NYSE: LUV), the low-cost airline, is currently undergoing significant scrutiny as an activist investor pushes for a major overhaul of its business framework.

Among the touchpoints for change are proposals to introduce assigned seating and premium seating options, which are both lucrative opportunities that competitors such as Delta (NYSE:DAL) and United Airlines (NYSE:UAL) have successfully integrated into their offerings.

In the lead-up to the investor day, COO Andrew Watterson shared a video message highlighting the necessity for the airline to adjust its network in response to the evolving dynamics of business travel post-pandemic. While Watterson acknowledged that accommodating certain cities may involve intricate adjustments, he affirmed that the airline intends to maintain its current service levels. "Navigating these changes is a complex undertaking, and it demands tough choices," he commented, yet remained vague on specifics.

The scrutiny from analysts and investors suggests a concerning degree of rigidity within the airline's operational ethos established decades ago. With plans to initiate a special meeting of shareholders potentially next week, analysts are advocating for a shake-up in the leadership team, including calls for Jordan’s removal. However, Southwest has firmly rejected any notions of leadership changes, asserting that a substantial transformation process is in progress, aimed at enhancing financial performance.

Historically praised for its consistent profitability—boasting 47 consecutive years of profit before the onset of the pandemic—Southwest is now struggling to reclaim that once-storied status. Conversations with industry analysts, investors, and employees indicate that the airline's prolonged success may have inadvertently fostered a sense of overconfidence amongst its leadership, which has been criticized for being too insular and fixated on maintaining the "Southwest way."

Additionally, analysts have pointed out Southwest's delayed response to a shift in consumer preferences toward premium travel offerings, a segment known for generating high margins. Initially dismissing this trend as "cyclical," the airline recently shifted course to target these travelers more effectively, but some question whether this response is too little, too late.

Critiques of Southwest aren’t limited to market strategy; the airline's technological adoption has also come under fire. The introduction of SkyPath software—a tool that leverages iPad sensors and GPS data for turbulence navigation—was only implemented this year, while competitors had adopted similar technologies years prior.

Furthermore, the airline's historically stringent cost controls are now facing challenges, with operating expenses consuming 99% of revenues last year, a steep increase from around 80% in 2015. The reliance on Boeing (NYSE: BA) has also proven to be a double-edged sword, as production issues have compelled Southwest to operate aircraft it hadn’t originally intended to utilize.
