Usa Rare Earth Earnings Call Transcript Summary of Q1 2026
USA Rare Earth (Q1 2026) highlighted three strategic transactions (acquisition of Serra Verde Group, strategic investment in Carester, and consolidation of 100% ownership of the Round Top Project) intended to create an integrated mine-to-magnet platform across three continents. The Serra Verde deal brings the Pela Ema mine in Brazil — the only scaled producer of all four magnetic rare earths outside Asia — plus a 15-year offtake with a U.S. government-backed SPV that includes price floors for NdPr, dysprosium and terbium. The Carester partnership strengthens heavy rare earth processing (including recycled feedstock) and engineering/IP access for the company. Operationally, Stillwater Phase 1a was commissioned in March and will produce customer-qualifying NdFeB magnets in Q2 with sales expected in H2 2026; LCM (U.K.) revenues were ~$6M for the quarter with gross profit slightly positive and capacity targets of 3,000 tpa metal making by Q4; Stillwater magnet run-rate target is 600 tpa by year-end. Round Top definitive feasibility work is underway with a PFS expected year-end and publication in Q1 2027; hydromet demonstration circuits at Wheat Ridge are commissioning. Financially, the company closed a $1.5B PIPE and is finalizing definitive documentation for a $1.6B Department of Commerce funding LOI, ending the quarter with approximately $1.75B in cash. Q1 operating expenses were ~$37M (adjusted OPEX ~$25M), reported net loss was $67M but adjusted net loss was $24.1M excluding a $43.6M noncash fair value adjustment. Management will not provide formal financial guidance now but plans an Investor Day in Q3 2026 after closing Serra Verde. Key near-term catalysts: finalization of Department of Commerce funding, closing Serra Verde and Carester transactions, commissioning of Wheat Ridge hydromet demo, ramp of Stillwater magnet production and LCM capacity expansion, and progress on the Round Top PFS.
