Vistance Networks Earnings Call Transcript Summary of Q1 2026
Vistance Networks announced a definitive agreement to sell its RUCKUS Networks business to Belden for $1.846 billion (expected to close in H2 2026). Management intends to return a significant portion of the excess cash to shareholders via a special distribution after closing; the company already paid a $10-per-share special distribution on April 27 that is expected to be treated as a return of capital. Q1 2026 results beat expectations: consolidated net sales were $472 million (up 22% YoY) and core adjusted EBITDA was $87 million (up 38% YoY). Aurora Networks (remaining business post-RUCKUS sale) delivered strong growth driven by DOCSIS 4.0 amplifier and node deployments (Aurora revenue $298M, +33% YoY; Aurora adjusted EBITDA $50M, +32% YoY). RUCKUS reported revenue growth and margin improvement (core revenue +14% YoY; core adjusted EBITDA $37M, +54% YoY) and is being presented as held for sale. Company guidance: on-track for 2026 Vistance adjusted EBITDA of $350–$400M; standalone Aurora 2026 adjusted EBITDA guidepost of $225–$250M (excluding RUCKUS stranded costs). Cash and liquidity: ended Q1 with $2.5B cash after CCS divestiture, repaid all debt, no outstanding debt, new $300M revolver (expected ~$175M borrowing base). Backlog was $843M (up 33% q/q). Management highlighted chip supply (DDR4 memory) as an ongoing risk but said current visibility covers Q2 and they are using supplier relationships, inventory, product redesign and pricing to mitigate impacts. Operational notes: shipments of >500k FDX amplifiers since early 2025; unified nodes expected to enter production Q2 and ship H2 2026; vCCAP wins (Vodafone Germany) and PON deployments provide additional growth vectors. Management expects Q2 adjusted EBITDA roughly flat vs Q1, but down YoY due to prior-year timing; they plan to evaluate bolt-on M&A and to reduce stranded costs over several quarters.
